Terms of service
The agreement between your organisation and us when you use holysheet.
The short version
- holysheet is for businesses. By signing up, you agree to these terms for your organisation.
- Your spreadsheets stay yours. We use them only to answer your questions, we don’t keep the row text, and we don’t train models on it.
- Answers come from an AI model and can be wrong. Check them before you rely on them.
- Don’t send sensitive personal data (health, biometrics, criminal records and the like).
- You can stop at any time. Paid plans run to the end of the period you’ve paid for.
This summary is for convenience. The terms below are what apply.
1. Who we are and who this agreement is with
holysheet is provided by holysheet, a sole trader business based in the United Kingdom (“holysheet”, “we”, “us”). You can reach us at legal@getholysheet.com.
These terms are an agreement between us and the organisation that uses holysheet (“you” or the “customer”). If you accept them for an organisation, you confirm you’re allowed to bind it. If you sign up without naming an organisation, you accept them for yourself as a business.
You accept these terms when you create an account, join a workspace or use the service. Our privacy notice explains how we handle personal information, and our data processing agreement (DPA) forms part of these terms.
2. The service
holysheet answers questions about rows of text: yes or no, classification, scores and tags. You can use it in the web workspace, through our API, and in our Google Sheets and Excel add-ins (together, the “service”).
Some features are labelled preview, pilot, beta or early access. They’re provided as they are, may change or end, and may have lower limits or reliability.
3. Accounts and workspaces
- Business use only. holysheet is for use in a business, trade or profession. It isn’t offered to consumers. Everyone using it must be 18 or over.
- Workspaces. Your organisation uses holysheet through one or more workspaces. Workspace admins can invite and remove members, change roles and manage API keys. You’re responsible for who you let in and for what they do in the service.
- Sign-in details and API keys. Keep them secure and don’t share them publicly. Anyone holding a key can use your workspace’s rows. Revoke a key straight away if you think it has leaked, and tell us about any unauthorised use.
- Accurate information. Keep your account details accurate and up to date.
4. Your data
“Customer data” means the questions, rows, labels and other content you send to the service, and the answers it returns to you.
- You own it. As between you and us, you keep all rights in your customer data.
- What we do with it. You allow us to process customer data only as needed to provide, secure and support the service, and as required by law.
- No training. We don’t use customer data to train or improve AI models.
- No storage of rows. The service processes row text to produce answers and doesn’t save row text or answers in our database. The Google Sheets add-in keeps recent answers in Google’s document cache for up to six hours to avoid repeat charges. Our account records (such as usage counts) are covered by the privacy notice.
- Your responsibilities. You’re responsible for your customer data and for having the right to send it to us, including any notices or permissions needed under data protection law.
- Personal data. Where customer data contains personal data, you are the controller and we are your processor, and the DPA applies.
5. Acceptable use
You must not, and must not let anyone else:
- send special category data (such as health, genetic, biometric, racial or ethnic origin, political, religious, trade union, sex life or sexual orientation data), criminal offence data, payment card numbers or government ID numbers, unless we’ve agreed to it in writing;
- use the service to make decisions with legal or similarly significant effects on people (for example about hiring, credit, housing or insurance) without meaningful human review;
- break the law, infringe anyone’s rights, or send content you don’t have the right to use;
- try to get around usage limits, access controls or billing, or access other customers’ data;
- disrupt, overload, probe or attack the service, or use it to build a competing product;
- copy, decompile or reverse engineer the service, except where the law allows it;
- resell or share access to the service outside your organisation, unless we’ve agreed to it in writing.
6. AI answers
Answers come from an AI model. They can be wrong, incomplete or inconsistent, even when they look confident, and the same question can get different answers. Answers aren’t professional advice. You’re responsible for how you use them, including checking them before relying on them for anything important.
7. Plans, limits and payment
- Plans and limits. Each workspace has a plan with a monthly allowance of answers and limits on the size of each run. An answer is one question answered for one row of text. When the allowance runs out, runs stop until the next period or an upgrade, unless your plan includes extra usage and you’ve turned it on, in which case extra answers are charged at the rate shown for your plan.
- Free plans. Free and preview plans may change, be limited or end. We’ll give reasonable notice where we can.
- Paid plans. If you choose a paid plan, you agree to pay the fees shown when you subscribe, in advance for each billing period, plus any VAT or other applicable taxes. Payments are handled by our payment provider. If a payment fails, we may limit the workspace to its free allowance until it’s paid.
- Cancelling. You can cancel at any time. Cancellation takes effect at the end of the current billing period, and you can keep using the service until then. Fees already paid aren’t refundable, except where the law requires it or we say otherwise.
- Price changes. We’ll give you at least 30 days’ notice of a price increase. It applies from your next billing period after the notice ends, and you can cancel before then.
8. Availability and changes
We work to keep holysheet available and reliable, but we don’t promise it will be uninterrupted or error free, and we don’t offer a service level agreement unless we sign one with you. We may change, improve or remove features. If we remove something material from a paid plan, we’ll tell you in advance and you can cancel, with a pro-rated refund for any unused prepaid period.
9. Suspension and ending this agreement
- You can stop using holysheet and ask us to close your workspace at any time.
- We may suspend access, as narrowly as practical, if it’s needed to protect the service or other customers, if you seriously or repeatedly break these terms, or if the law requires it. We’ll tell you why unless we’re not allowed to.
- Either of us may end this agreement by written notice if the other seriously breaks it and doesn’t fix the breach within 30 days of being told. We may also end it with 30 days’ notice, for example if we stop offering the service; if we do, we’ll refund any unused prepaid fees.
- When it ends, your access stops. We delete your workspace’s account records within 30 days, except records we must keep by law (such as invoices) and backups that expire in the normal course. Because we don’t store row text or answers, there’s nothing of that kind to return; download your results before you leave.
Sections 4, 6, 10, 11, 12, 13 and 15 continue after this agreement ends.
10. Confidentiality
Each of us will keep the other’s non-public information confidential, use it only for this agreement, and share it only with people who need it and are bound to keep it confidential. This doesn’t cover information that is or becomes public through no fault of the recipient, that the recipient already had or developed independently, or that must be disclosed by law (with notice to the other party where allowed).
11. Our intellectual property and feedback
We and our licensors own the service, including the software, models we license, designs and documentation. These terms don’t transfer any of it to you. If you send us suggestions or feedback, we may use them freely without any obligation to you.
12. Warranties
Each of us confirms it has the authority to enter into this agreement. Apart from what these terms expressly say, the service is provided “as is”, and we exclude all other warranties, conditions and terms to the extent the law allows, including those of satisfactory quality and fitness for a particular purpose.
13. Liability
- What we don’t limit. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that can’t be limited by law.
- Indirect loss. Neither of us is liable for loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.
- Cap. Each party’s total liability arising from or in connection with this agreement in any 12-month period is limited to the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim and (b) £100. This cap doesn’t apply to your obligation to pay fees, or to your liability under section 14.
14. Claims about your data
You’ll defend us against, and pay any losses and reasonable costs arising from, a third-party claim that your customer data, or your use of the service in breach of section 5, infringes their rights or breaks the law. We’ll tell you promptly about the claim, let you control its defence, and give reasonable help at your cost.
15. Data protection
Each of us will comply with data protection law that applies to it, including the UK GDPR and the Data Protection Act 2018 and, where it applies, the EU GDPR. The DPA sets out how we process personal data on your behalf. Our privacy notice explains how we handle account and contact information as a controller.
16. Changes to these terms
We may update these terms. For material changes, we’ll give at least 30 days’ notice by email to workspace admins or in the service. If you don’t agree, you can stop using the service and cancel before the change takes effect. Continuing to use the service after that means you accept the change. Changes required by law, or that don’t reduce your rights, can apply sooner.
17. General
- Transfer. We may transfer this agreement to a company we set up or control to run holysheet, or to a buyer of the business, by telling you. The new provider takes on our obligations to you. You may not transfer it without our written consent, which we won’t unreasonably withhold.
- Subcontractors. We use the providers listed on our subprocessors page and remain responsible for them under these terms and the DPA.
- Events beyond our control. Neither of us is liable for delays or failures caused by events outside our reasonable control.
- Notices. We’ll send notices to the email address of your workspace admins. Send notices to us at legal@getholysheet.com.
- Whole agreement. These terms, the DPA and any order form we sign with you are the whole agreement about the service. If they conflict, a signed order form wins, then the DPA (for personal data), then these terms. Neither of us relies on anything not written in them.
- Other points. If a court finds part of these terms unenforceable, the rest still applies. Not enforcing a right straight away doesn’t waive it. Nobody else has rights under this agreement under the Contracts (Rights of Third Parties) Act 1999.
- Law and courts. These terms and any dispute about them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
